1. Agreement

Key West Charter Boats ("the Site") is operated by David A. Little, Inc. ("we", "us"). By using the Site you agree to these terms. If you do not agree, do not use the Site. Your use of the Site is also governed by our Privacy Policy.

2. What the Site is

The Site is a business directory. It lists businesses and lets visitors find and contact them. We are not a party to anything that happens between you and a listed business. We do not perform the work, we do not inspect the businesses, and we do not guarantee their licences, insurance, pricing, quality or availability. Check them yourself before you hire or pay anyone.

3. Eligibility

You must be at least 18 years old and legally able to enter a contract. If you use the Site for a business, you confirm you are authorised to act for that business.

4. Listings, claims and content you submit

• Listings are compiled from publicly available business information and may be incomplete or out of date.
• When you claim or add a listing you confirm the information you give is accurate and that you have the right to give it to us.
• You keep ownership of what you submit. You grant us a non-exclusive, worldwide, royalty-free licence to display, store and distribute it on the Site and in our marketing of the Site.
• We may edit, refuse, suspend or remove any listing or submission at any time, for any reason. A free listing carries no guarantee of placement, ranking, traffic or leads.
• If content on the Site infringes your copyright or trademark, email hello@keywestcharterboat.net with the URL, what was infringed and proof you own it. We remove infringing content when it is shown to us.

5. Acceptable use

You agree that you will not:

• Submit false, misleading, fraudulent or impersonating information, or claim a business you do not own or represent
• Scrape, crawl, harvest, copy or resell the directory data, in bulk or otherwise, except by the normal indexing that search engines do
• Use contact details from the Site to send unsolicited bulk email, texts or calls
• Post anything unlawful, defamatory, obscene, harassing, hateful or infringing
• Upload malware, attempt to break into any part of the Site or its servers, probe for vulnerabilities, or interfere with the Site's normal operation
• Overload the Site with automated requests, or bypass any rate limit or access control
• Use the Site to break any law, or in any way that harms another person

We may suspend or terminate access for anyone who breaks these rules, without notice and without a refund.

6. Paid listings, advertising and subscriptions

• Prices are shown on the Site and are in US dollars. Payments are handled by Stripe; we never see or store your card number.
• Subscriptions renew automatically at the interval you chose (monthly or annual) at the then-current price, until you cancel.
• You may cancel at any time. Cancellation stops the next renewal. Email hello@keywestcharterboat.net to cancel and we will confirm in writing.
• Fees already paid are non-refundable except where the law requires a refund, or where we cancel your paid placement ourselves — in which case we refund the unused part of the period.
• A paid listing buys the placement and features described on the plan page. It does not buy a specific search ranking, a number of visitors, or a number of leads.
• We may change prices. A change applies to your next renewal, not the period you have already paid for, and we will tell you before it takes effect.
• You are responsible for any taxes on your purchase other than taxes on our income.

7. Third-party links

The Site links to websites we do not control. We are not responsible for their content, their products or their privacy practices.

Advertising. Some placements on this Site are paid advertising. A paid placement is not an endorsement, a recommendation, or a statement that we have checked the advertiser.

8. Disclaimer of warranties

THE SITE AND EVERYTHING ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure or error-free, or that any listing, review, rating, description or contact detail is accurate, current or complete. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAVID A. LITTLE, INC., ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR CONNECTED WITH YOUR USE OF THE SITE — WHETHER THE CLAIM IS IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, AND EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED US DOLLARS ($100).

We are not liable for any dealing between you and a business listed on the Site, or for any goods or services you obtain from one. Some jurisdictions do not allow these limits, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

10. Indemnification

You agree to defend, indemnify and hold harmless David A. Little, Inc. and its owners, employees, agents and suppliers from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or connected with: (a) your use of the Site; (b) anything you submit to the Site; (c) your breach of these terms or of any law; or (d) your infringement of anyone else's rights. We may take over the defence of any such claim at your expense, and you will cooperate with us if we do.

11. Termination

We may suspend or end your access to the Site at any time, with or without notice. Sections on content licence, disclaimers, limitation of liability, indemnification and governing law survive termination.

12. Governing law and venue

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You and we agree that any dispute will be brought only in the state or federal courts located in the State of Florida, and both of us consent to the personal jurisdiction of those courts.

This choice of law does not remove any protection you have under the mandatory consumer law of the country you live in, and it does not affect the data-protection rights described in our Privacy Policy.

13. Changes to these terms

We may update these terms. The date at the top of this page shows the current version. Continuing to use the Site after a change means you accept the new terms.

14. General

If any part of these terms is held unenforceable, the rest stays in force. Our failure to enforce a term is not a waiver of it. These terms, with the Privacy Policy, are the whole agreement between you and us about the Site. You may not transfer your rights under these terms; we may transfer ours to a successor of our business.
